Government Enforcement

Mr. Petrillo, as a partner in a former firm, represented clients in dozens of criminal and regulatory investigations and proceedings concerning, among others: alleged securities fraud, market manipulation and insider trading; alleged accounting and financial statement fraud in a wide variety of industries; the allocation of shares in initial public offerings; the equity analyst function and its supervision; stock exchange specialists' practices; trading in the treasury market; valuation and disclosure relating to structured finance transactions and debt-linked securities; mutual fund trading by hedge funds and others; management and governance practices in the mutual fund industry; insurance and reinsurance transactions and related disclosure issues; insurance brokerage practices; alleged options backdating; alleged antitrust violations; tax shelters and other alleged tax frauds; billing and tariff arrangements in the telecommunications sector; alleged health care fraud; and alleged environmental law violations.

In a number of these and other matters, Mr. Petrillo represented board members, executive management or lawyers, including in-house counsel and tax lawyers. He has also represented federal, state and local government officials in investigations and ethics inquiries.

Litigation and Arbitration

On behalf of clients as plaintiffs and as defendants, Mr. Petrillo has years of litigation experience in federal and state court proceedings, including in contract and partnership disputes, preliminary injunction proceedings, cases alleging securities fraud and civil RICO violations, actions asserting fraud and breach of duty by directors and by agents and employees, business and employment disputes and litigation brought by bankruptcy trustees. He has also represented clients in class action and derivative litigation, including in cases arising from government investigations and corporate internal investigations and been engaged in arbitrations in financial industry and other disputes.

Investigations/Compliance

Mr. Petrillo, as a partner in a prior firm, was counsel to the Rite Aid Corp. audit committee in its publicly disclosed investigation of financial and accounting irregularities at the company. He has also conducted non-public internal investigations for clients including an audit committee of a public company in its investigation of accounting practices in a division of the company, a board of directors of a public company in its investigation of the company's stock options dating practices, a money manager in its review of the basis for certain trading by portfolio managers and a media/entertainment company in its investigation of a division's relationships with third-party business agents.

Appeals

Mr. Petrillo has been counsel in more than one hundred appeals in federal court concerning, among others, principles of constitutional law, criminal and trial procedure, sentencing, the interpretation of the money laundering and forfeiture statutes, the law of securities fraud in the insider trading context, the standards governing director duties under Delaware law, insolvency principles under Delaware law, the law applicable to contempt-of-judgment proceedings, attorney client privilege, antitrust pleading requirements, the anti-terrorism laws and attorney sanctions.
